Terms & Conditions

1. Parties & Acceptance

These Terms & Conditions (“Terms”) form a binding agreement between Pal DMC (“Agency”) and you (“Client,” “you”), effective upon your acceptance of services or engagement with our website. If you disagree with any part, please do not use our services.

2. Scope of Services

The Agency provides digital marketing services, including:

  • Social Media Marketing & Management
  • Influencer Campaigns
  • Public Relations & Media Outreach
  • SEO & Performance Marketing
  • Website Development & Maintenance
  • Facebook & Snapchat Advertising
    Service specifics, deliverables, timelines, KPIs, and fees are detailed in separate proposals or contracts

3. Client Obligations

You must:

  • Provide accurate, timely information and materials
  • Grant access to relevant accounts (e.g. social media platforms)
  • Approve content or deliverables within agreed timeframes
  • Promptly review and sign LPOs or proposals as required before project commencement

4. Changes & Scope Control

Any changes to the agreed services must be requested in writing and may incur additional charges or timeline changes. We reserve the right to decline or reprice extensions beyond scope

5. Payment Terms & Fees

  • Project fees are outlined per proposal and billed in milestones or full
  • Standard payments in AED; currency conversions borne by the client
  • Invoices payable within specified terms (e.g. 5 business days); late payments may incur fixed surcharges or percentage-based interest
  • Final payments must clear before any deliverable is made live or ownership is transferred

6. Intellectual Property

  • Ownership rights of work revert to the Client upon full payment, unless otherwise agreed
  • Agency retains rights to proprietary methodologies, code snippets, designs, and third-party tools
  • You agree not to distribute or modify Agency-owned assets outside the project without permission or indemnify us if third-party claims arise from materials you provided

7. Confidentiality & Data Protection

Both parties shall maintain confidentiality of shared business-sensitive information. Agency will comply with UAE data privacy regulations in handling Campaign data and personal information of audiences or leads.

8. Performance & Deliverables

  • KPIs and campaign performance metrics are set in proposals; while we optimize for results, no guaranteed ranking or outcome is promised
  • Performance depends on external factors (platform policies, algorithm changes, client approvals, etc.)—Agency liability is limited accordingly

9. Warranty, Support & Bug Fixes

  • Agency may provide a warranty period post-go-live (e.g. 30–90 days), during which bugs or defects from our work will be addressed at no extra cost
  • Warranty excludes issues caused by client modifications, third-party changes, or misuse

10. Termination & Suspension

  • Either party may terminate with written notice—standard notice is 30 days or as detailed in the agreement
  • If terminated early, outstanding fees and scheduled milestone charges become due
  • Agency may suspend work if dues are unpaid or contract obligations are breached

11. Limitation of Liability & Indemnity

  • Liability is capped at the total project fees paid
  • Neither party is liable for indirect or consequential damages (loss of profits, business, reputation)
  • Client indemnifies Agency against claims arising from client-supplied input or decisions

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates and disputes shall be resolved in Dubai courts or by mutually agreed arbitration.

13. Amendments

Agency may amend these Terms without prior notice; continued engagement implies acceptance—please review regularly
